Newron shareholders’ meeting

 

·        Approves acquisition of Hunter-Fleming

·        Appoints three additional industry experts to Board 

 

Milan, Italy – April 25, 2008 - Newron Pharmaceuticals S.p.A. (“Newron”), a research and development company focused on novel CNS and pain therapies, announces that in an Ordinary and Extraordinary General Meeting convened in Zurich on April 24, with 65,9% shareholders being present, all proposals put forward by management were approved.

The increases of capital and the acquisition of Hunter-Fleming Ltd. by Newron were approved. Thus, Newron’s acquisition of 100% of the issued share capital of Hunter-Fleming Ltd., a private UK biopharmaceutical company developing new medicines to treat neurodegenerative and inflammatory disorders will now proceed into technical completion.

Furthermore, with the term of the previous members of the Board of Directors (BoD) expiring, the shareholders appointed the BoD for the period ending with the approval of the financial statements for the year 2010. Rolf Stahel, Chairman, said, “We appreciate the opportunity to establish a BoD with new, independent and highly experienced and reputed experts from the major disciplines of the global pharmaceutical industry. We thank the three VC representatives whose term on the Board has come to an end, for supporting the start of Newron’s business and the growing of it into a highly successful late stage CNS company that became a public entity on December 12, 2006.”

Rolf Stahel, Dr. Luca Benatti, Dr. Francesco Parenti, Hervé Guérin, Renée Aguiar-Lucander and Dr. Hans-Joachim Lohrisch were re-elected to Newron’s Board of Directors. Newly elected to the Board were, Dr. Patrick Langlois, Ragnar Linder and Professor Dr. Hanns Moehler, replacing former Board members Axel Bolte, Laurent Ganem and Dr. Alexandra Goll.

Dr. Patrick Langlois was the CFO and Vice Chairman of the Management Board of Aventis from 2002 to 2005 and for 30 years served in various senior financial functions in Rhône-Poulenc and Aventis Group in France and the USA. Prior to that, he was with Banque Louis Dreyfuss. He is presently General Partner of PJL Conseils, a consulting firm in Healthcare.

Ragnar Linder was the Managing Director of Amgen in Scandinavia from 2001 to 2004. Prior to that, he was with the Sanofi-Aventis Group from 1980 to 2001 in senior positions in Europe and the USA. His final position was Director New CNS products in the Global Marketing and Medical Group of Aventis. He is now the CEO of Pygargus AB, a CRO acting in the Scandinavian region. He brings to Newron's Board sales and marketing experience of more than 25 years in international pharmaceutical industry.

Professor Dr. Hanns Moehler held a professorship in the Department of Applied Biosciences, ETH Zurich, as well as in the Medical Faculty of the University of Zurich, where he was director of the Institute of Pharmacology, up to 2005. He was the first director of the Swiss National Center of Neuroscience Research (2000-2004), of which he is presently vice-director. Prior to his academic positions, Hanns Moehler gained extensive experience in industry as vice-director in the Research Department of Hoffmann-La Roche, Basle Switzerland. Prof. Möhler`s research was devoted to the neurobiology of brain disorders and their therapies. The research, which included the discovery of the benzodiazepine receptor and the drug Flumazenil, also encompassed the gene therapy of epilepsy, the neurobiology of emotions and the self-organisation of the brain. He is a member of the Swiss Academy of Medical Sciences and the European Academy of Sciences.
